1. NATURE OF SERVICES
ShipAnywhere (operated by Inlinex Pte Ltd, UEN pending, "the Company", "we", "us") is an independent shipping intermediary and technology platform. We facilitate the preparation and submission of shipping documentation, including air waybills (AWBs), electronic trade documents (ETDs), and commercial invoices, on behalf of our customers ("you", "the Customer") using the FedEx Express carrier network.
WE ARE NOT A CARRIER. We do not own, operate, or control any aircraft, vehicles, warehouses, or transportation infrastructure. We do not physically handle, transport, store, or deliver any packages or goods. All physical transportation, customs clearance, and delivery services are performed exclusively by FedEx Corporation and its subsidiaries ("the Carrier").
2. LIMITATION OF LIABILITY
2.1 THE COMPANY'S MAXIMUM AGGREGATE LIABILITY TO THE CUSTOMER FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THIS PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE SERVICE FEES ACTUALLY PAID BY THE CUSTOMER TO THE COMPANY FOR THE SPECIFIC SHIPMENT GIVING RISE TO THE CLAIM.
2.2 THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.
2.3 The Company expressly disclaims all liability for any loss, damage, delay, misdelivery, non-delivery, theft, confiscation, or destruction of any shipment or its contents, whether in whole or in part. All such claims must be directed exclusively to the Carrier (FedEx) in accordance with the Carrier's terms and conditions of carriage.
2.4 The Company shall not be liable for any acts, omissions, defaults, or negligence of the Carrier, customs authorities, government agencies, or any third parties involved in the transportation, handling, inspection, or clearance of shipments.
3. CARRIER TERMS
3.1 All shipments processed through this platform are subject to the FedEx Standard Conditions of Carriage, the FedEx Service Guide, and any applicable FedEx terms and conditions in effect at the time of shipment. In the event of any conflict between these Terms and the Carrier's terms, the Carrier's terms shall prevail with respect to the physical transportation of goods.
3.2 FedEx's liability for loss, damage, or delay is limited to the greater of approximately USD 20.00 per kilogram or USD 100.00 per shipment, unless a higher declared value for carriage has been declared and the applicable surcharge paid. These limits are set by FedEx and the applicable international conventions (Warsaw/Montreal Convention), not by the Company.
3.3 The Customer acknowledges that by using this platform, they accept and are bound by the Carrier's terms of carriage, including all liability limitations therein.
4. CLAIMS FOR LOSS, DAMAGE, OR DELAY
4.1 All claims for loss, damage, delay, misdelivery, or non-delivery of shipments must be filed directly with FedEx. The Company will, upon reasonable request, provide the Customer with shipment documentation (AWB numbers, tracking references, ETD references) to assist in filing such claims, but the Company assumes no obligation to pursue, manage, or resolve any claims on the Customer's behalf.
4.2 Claims must be filed with FedEx within the timeframes specified in FedEx's conditions of carriage (typically 21 calendar days from delivery date for damage, and 9 months from date of shipment for loss). Failure to comply with these deadlines may result in the claim being barred.
4.3 The Company is not a party to the contract of carriage between the Customer and FedEx. The AWB issued constitutes the contract of carriage between the shipper and FedEx, not between the shipper and the Company.
5. INSURANCE
5.1 The Company may facilitate the declaration of a higher value for carriage ("declared value coverage") through FedEx's system. This is NOT insurance in the traditional sense — it increases FedEx's maximum liability in the event of loss or damage, subject to FedEx's terms and claims procedures.
5.2 The Company strongly recommends that Customers obtain independent cargo insurance from a licensed insurer for all shipments, particularly for high-value goods. The Company does not provide, underwrite, or guarantee any insurance coverage.
6. CUSTOMS, DUTIES & TAXES
6.1 The Customer is solely responsible for the accuracy of all customs declarations, commercial invoices, HS/tariff codes, goods descriptions, and declared values submitted through this platform. The Company provides tools and suggestions to assist with customs documentation but does not guarantee the accuracy or acceptance of any customs declarations by any customs authority.
6.2 Duties and taxes estimates provided on this platform are approximate and for informational purposes only. Actual duties, taxes, and ancillary fees (including but not limited to advancement/disbursement fees, storage fees, and additional entry line items) are determined and assessed by customs authorities and the Carrier at the destination, and may differ materially from estimates.
6.3 The Customer is ultimately liable for all duties, taxes, fines, penalties, and ancillary fees assessed on any shipment, regardless of any payment instructions or DDP (Delivered Duty Paid) arrangements. If the designated payor (recipient or third party) fails to pay, the shipper (Customer) remains liable pursuant to FedEx's conditions of carriage.
6.4 The Company shall not be liable for any customs delays, seizures, confiscations, or penalties resulting from inaccurate or incomplete customs documentation, regardless of whether such documentation was prepared with the assistance of this platform's tools.
7. PROHIBITED & RESTRICTED ITEMS
7.1 The Customer represents and warrants that no shipment tendered through this platform contains any items prohibited by FedEx, IATA, ICAO, or any applicable law or regulation, including but not limited to: dangerous goods (unless properly declared), controlled substances, firearms, counterfeit goods, sanctioned items, or any items prohibited under the laws of the origin, destination, or transit countries.
7.2 The Customer shall indemnify and hold harmless the Company from any and all claims, damages, fines, penalties, and costs arising from the shipment of prohibited or restricted items.
8. PAYMENT & REFUNDS
8.1 All payments are processed through Stripe and are non-refundable once an AWB has been generated and the shipment data has been transmitted to FedEx, except at the Company's sole discretion.
8.2 If a shipment is voided or cancelled through FedEx prior to pickup, the Company may, at its sole discretion, issue a partial or full refund of service fees. Transportation charges refunded by FedEx will be passed through to the Customer, less any applicable processing fees.
8.3 The Company reserves the right to modify its pricing, markup percentages, and fee structures at any time without prior notice.
9. INDEMNIFICATION
The Customer agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) the Customer's use of the platform; (b) any breach of these Terms; (c) inaccurate or fraudulent customs declarations or shipping information; (d) the shipment of prohibited, restricted, or improperly declared items; (e) any duties, taxes, fines, or penalties assessed on any shipment; or (f) any claim by a third party related to the Customer's shipments.
10. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC TRANSIT TIMES, DELIVERY DATES, OR SERVICE LEVELS — ALL SUCH COMMITMENTS ARE BETWEEN THE CUSTOMER AND THE CARRIER.
11. FORCE MAJEURE
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, sanctions, embargoes, strikes, labor disputes, carrier service disruptions, IT system failures, cyberattacks, or any other event beyond the Company's reasonable control.
12. DATA PROTECTION & PRIVACY
The Company collects and processes personal data (including names, addresses, phone numbers, email addresses, and shipment details) as necessary to provide shipping services. This data may be shared with FedEx, customs authorities, and payment processors (Stripe) as required. By using this platform, the Customer consents to such data processing and sharing.
13. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore. For international air shipments, the Warsaw Convention (as amended) and/or the Montreal Convention shall apply to the extent applicable to the contract of carriage between the Customer and the Carrier.
14. ACCOUNT SUSPENSION & TERMINATION
The Company reserves the right to suspend or terminate any Customer account at any time, with or without cause, and with or without notice. Grounds for suspension or termination include, but are not limited to: fraudulent activity, repeated customs violations, abuse of the platform, non-payment, or any breach of these Terms.
15. SEVERABILITY & ENTIRE AGREEMENT
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the FedEx Conditions of Carriage, constitute the entire agreement between the Customer and the Company regarding the subject matter hereof and supersede all prior agreements and understandings.
16. AMENDMENTS
The Company reserves the right to modify these Terms at any time. Continued use of the platform after any such modifications constitutes acceptance of the revised Terms. It is the Customer's responsibility to review these Terms periodically.
⚠️ IMPORTANT NOTICE: By creating an account and using ShipAnywhere, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions in their entirety. You further acknowledge that ShipAnywhere acts solely as a shipping intermediary and that all physical transportation services are provided by FedEx under FedEx's own terms and conditions of carriage.
